Bylaws outline the legal structure of every organization. These include the Board of Director’s roles and responsibilities, language required by the IRS governing tax-exempt nonprofit organizations, and more. This document is not just useful, the IRS requires it. All organizations applying for federal tax-exempt status must attach a copy of their Bylaws to the application.
The Board of Directors should physically sign the organization’s Bylaws to acknowledge agreement with the document. The organization’s secretary should keep this document, and all other important files, for review and updating.
